QUOTATIONS TERMS AND CONDITIONS

  This is a price quotation for the goods named herein and is subject to the following terms and conditions: The quotation is provided by York Bolt, Inc. (the “Company”) as a service to its customers or prospective customers to assist them with their purchase planning. Actual pricing is not guaranteed, and this quotation only represents the estimated price for such goods on the date hereof and are valid for 5 days. Actual pricing shall be reflected on a Purchase Order signed and approved by the Company and subject to the Company’s Standard Purchase Order Terms and Conditions contained therein (and incorporated herein by reference) to include, without limitation, (i) that the Company’s payment terms are 1% 10th Net 30 Prox for customers holding an open account, (ii) payment due upon receipt of items for customers not holding an open account, (iii) no returns on special orders. (iv) no returns unless approved in writing by the Company, (v) All returns or exchanges must be accompanied by receipt, (vi) all returns are subject to a 20% restocking fee, (vii) a finance charge of 1 1/2% per month (18% annual) will be charged on accounts past due over 30 days, (viii) purchaser shall pay the Company’s attorney’s fees, expert fees, and other costs of collection, (ix) the Company’s Standard Purchase Order Terms and Conditions shall be deemed to amend, restate replace, supersede any and all terms and conditions proposed by purchaser. Any and all terms and conditions other than the Company’s Standard Purchase Order Terms and Conditions shall be deemed void, invalid, of no force or effect, and completely rejected by the Company unless expressly accepted in writing by the Company on the Company’s Purchase Order form as evidenced by a duly authorized signature of an officer thereof.
